Missed Calls - Basic License

1. Grant of License Credit is appreciated but not required. Rayline Audio grants the purchaser/licensee a limited, non-exclusive, non-transferable license to use the instrumental beat titled "Missed Calls" to create one new song or audio-visual work by adding original vocals, lyrics, melodies, or other creative elements. This license does not transfer copyright ownership of the beat. 2. Allowed Use The licensee may record vocals over the beat, release and distribute the completed song on major streaming platforms, digital stores, social media platforms, websites, and video platforms, and monetize the completed song within the terms of this agreement. 3. Files Included The Basic License includes the untagged MP3 file of the beat only. Stems, trackouts, individual instrument files, project files, session files, MIDI files, and exclusive rights are not included unless purchased separately in writing. 4. Ownership Rayline Audio and Prod.Ray retain full ownership and copyright of the original instrumental beat, including the composition, sound recording, arrangement, melodies, drums, and musical elements contained in the beat. The licensee owns their original lyrics and vocal performance added to the beat, subject to the terms of this license. 5. Non-Exclusive Rights This is a non-exclusive license. Rayline Audio may continue to sell, lease, license, upload, promote, or otherwise use the beat. Other artists may also license and release songs using the same beat unless and until the beat is sold exclusively under a separate agreement. 6. Restrictions The licensee may not resell, lease, sublicense, redistribute, share, upload, or give away the beat by itself. The licensee may not claim to be the producer of the beat, register the beat as their own instrumental work, upload the beat as a standalone instrumental, or include the beat in sample packs, beat packs, production libraries, or sync libraries without written permission from Rayline Audio. 7. Content ID and Claims The licensee may not register the beat or the completed song with YouTube Content ID, Facebook Rights Manager, or any similar automated content identification system in a way that blocks, claims, demonetizes, or restricts Rayline Audio, Prod.Ray, or other licensed users of the beat. If a claim occurs because of the licensee, the licensee agrees to remove or release the claim promptly. Page 1 Rayline Audio - Basic License Agreement 8. Credit Credit is appreciated but not required. Suggested credit, when possible: Produced by Prod.Ray or Beat by Rayline Audio. 9. Publishing and Royalties Unless otherwise agreed in writing, Rayline Audio and Prod.Ray do not claim ownership of the licensee's lyrics or vocal performance. Publishing, performance royalties, producer royalty points, and other royalty splits for major placements, label releases, or sync opportunities should be handled in a separate written agreement before release or placement. 10. Exclusive Sale After Purchase If the beat is later sold exclusively to another customer, this Basic License remains valid for the licensee according to the terms of the original purchase. However, the licensee does not receive exclusive ownership and may not prevent the new exclusive buyer or prior licensees from using the beat according to their valid licenses. 11. No Refunds After Delivery Because digital audio files are delivered electronically and can be copied, all sales are final once the files have been delivered, unless Rayline Audio chooses otherwise in writing. 12. Breach of Agreement If the licensee violates this agreement, Rayline Audio may terminate the license and require the licensee to stop using, distributing, or monetizing the beat and any work using the beat until the issue is resolved. 13. Agreement By purchasing, downloading, receiving, or using the beat, the licensee agrees to the terms of this Basic License Agreement. The purchase receipt, order confirmation, payment record, or delivery record may be used as proof of license
